Last Updated: August 1, 2025

Hi! Welcome to Screenvault! Please read these terms carefully—they govern your use of Screenvault’s website, products, and services.

1. Agreement to Terms

By creating an account, accessing, or using our services, you agree to these Terms of Service ("Terms"). If you do not agree, you may not use the Service. These Terms are a binding contract between you ("Customer") and Screenvault, Inc., a Delaware corporation.

2. Eligibility

You must be at least 18 years old and able to form a legally binding contract. If you use the Service on behalf of an organization, you represent that you are authorized to bind that entity.

3. Services Provided

Screenvault provides cloud-based solutions for media storage, archiving, organization, and delivery. Our Service may include:

  • Active storage for ongoing projects
  • Archival storage for long-term content retention
  • Delivery tools for sharing files with distributors, collaborators, and other third parties

We may update, modify, or discontinue features at any time without notice.

4. Account Responsibilities

  • Maintain the security of your login credentials.
  • You are responsible for all activity under your account, whether authorized or not.
  • Provide accurate information and keep it updated.
  • Screenvault is not liable for losses arising from unauthorized use of your account.

5. Acceptable Use

You agree not to:

  • Use the Service for unlawful, infringing, or harmful purposes.
  • Upload content that violates intellectual property rights.
  • Interfere with or disrupt the Service, including reverse-engineering or bypassing security.
  • Use the Service for high-risk activities where failure could cause death, injury, or catastrophic damage.

We may suspend or terminate your account for violations. Screenvault’s detailed Acceptable Use Policy (AUP) is incorporated by reference.

6. Content Ownership

  • You retain ownership of all content you upload.
  • You grant Screenvault a limited, non-exclusive license to host, store, and transmit your content solely to provide the Service.
  • We do not sell or monetize your content.

7. Data Storage and Access

  • We use secure, redundant infrastructure for data storage.
  • We do not guarantee permanent retention; maintain your own backups.
  • Archived content may require retrieval time and may incur retrieval fees.
  • We may restrict access as required by law or to enforce these Terms.
  • No Liability for Data Loss: Screenvault is not liable for loss, corruption, deletion, or failure to store any data, regardless of cause.

8. Payment, Billing, and Non-Payment

  • Fees are listed on our pricing page and are charged on a recurring basis.
  • Fees are non-refundable except where required by law.
  • Overages may apply if you exceed plan limits.
  • For non-payment, we may suspend your account. If unpaid for more than 30 days, we may delete your content without further notice. Screenvault has no liability for deleted data due to non-payment.

9. Service Availability (No SLA)

We strive for high availability but do not guarantee uninterrupted or error-free service. No Service Level Agreement (SLA) applies; service credits, if any, are your sole remedy.

10. Security

We implement industry-standard security measures, but no system is 100% secure. You store data at your own risk.

11. Compliance and Legal

  • You are responsible for complying with applicable laws (e.g., GDPR/CCPA, export controls, IP laws).
  • We may disclose account or content information if required by law or court order.

12. DMCA Safe Harbor & Copyright Policy

We respond to valid notices, remove or disable access to infringing content, and may terminate repeat infringers. See our DMCA Notice & Takedown Policy for instructions.

13. Indemnification

You agree to indemnify, defend, and hold harmless Screenvault and its affiliates from claims, damages, liabilities, and expenses (including legal fees) arising from your use of the Service, your content, your violation of these Terms, or violations of law or third-party rights.

14. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE OPERATION. NOT FOR MISSION-CRITICAL OR LIFE-SAFETY USES.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SCREENVAULT’S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID IN THE 12 MONTHS PRECEDING THE CLAIM. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES (INCLUDING LOST PROFITS, DATA, OR GOODWILL), EVEN IF ADVISED OF THE POSSIBILITY.

16. Termination

  • We may suspend or terminate your account for violations, non-payment, or legal reasons.
  • Upon termination, your data may be deleted and is not recoverable.

17. Binding Arbitration and Class Action Waiver

Any dispute will be resolved by binding arbitration under AAA rules. You waive participation in class actions, class arbitrations, or representative actions. Arbitration will take place in Delaware unless both parties agree otherwise.

18. Changes to Terms

We may update these Terms from time to time. The latest version will be posted with the date of last update. Continued use after changes constitutes acceptance.

19. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules.
